    MUMBAI

PB Fintech, the parent of Indian insurance marketplace Policybazaar, lifted net profit 43% to INR 192 crore in the quarter ended September, but the company's own earnings call, whose transcript was filed with the National Stock Exchange on Wednesday, showed how much of that business depends on rules India's insurance regulator now wants to rewrite.

Operating revenue rose 35% to INR 2,178 crore from INR 1,614 crore a year earlier, according to the results filed on Oct. 30 and reported by Entrackr. Profit was up 18% from the June quarter. For investors in Asia's listed fintech companies, the numbers set up a clear test: a platform growing premiums close to 40% a year faces a draft from the Insurance Regulatory and Development Authority of India (IRDAI) that would put ceilings on what brokers can be paid.

PB Fintech results: premiums up 38%, lending down

Total insurance premium sold through PB Fintech's platforms rose 38% to INR 9,385 crore, and new health and term protection premium grew 42%, according to MediaNama and BFSI Network. Insurance broking brought in INR 2,015 crore, about 93% of operating revenue. The core Policybazaar insurance business earned INR 1,211 crore, up 42%.

Adjusted EBITDA rose 39% to INR 216 crore and reported EBITDA climbed 69% to INR 166 crore, BFSI Network reported.

Credit was weaker. Paisabazaar, the group's loan marketplace, disbursed INR 4,739 crore, down 46% from INR 8,750 crore a year earlier, MediaNama reported, though its revenue rose 18% to INR 125 crore. The company said core online disbursals grew 22%, without giving a split between core and other lending. Revenue from "other services" fell 12% to INR 163 crore.

Costs grew a little more slowly than sales. Total expenses rose 33% to INR 2,068 crore. Advertising and promotion jumped about 59% to INR 447 crore, and employee costs rose about 29% to INR 773 crore, including INR 51 crore of share-based pay, MediaNama said.

The newer businesses (PB Partners, the agent platform; PB for Business; and the United Arab Emirates operation) produced INR 826 crore of revenue, up 40%, and are close to breaking even, according to Kalkine's account of the call. UAE premium grew 36%. Rolling 12-month renewal and trail revenue in the core business passed INR 1,000 crore, up 42%.

For the first half of the fiscal year, revenue rose 37% to INR 4,066 crore and profit after tax rose 61% to INR 355 crore, Entrackr reported.

IRDAI commission caps: what Policybazaar told investors

The pressure comes from a draft consultation paper on distribution reforms. According to BFSI Network, IRDAI has proposed regulator-set ceilings on commissions, with lower caps for brokers and other distribution entities than for insurers' own agents. The draft would also route premiums directly from customers to insurers and limit the use of product information for lead generation. Comments closed on Oct. 25, and the rules are not final.

PB Fintech management said on the call that "lower distribution payouts would reduce insurance distribution revenue," Kalkine reported. Core revenue is split roughly evenly between general and life insurance. In one scenario discussed by management, a 60% cut in general insurance commissions would lower total core revenue by about 30%, BFSI Network said. Management estimated the value of new non-life business could fall 25% to 33%, while life insurance economics would stay broadly similar.

The company also argued that cheaper distribution could lower premiums and lift policy volumes by 15% to 20%, offsetting part of the hit. Chairman and Group CEO Yashish Dahiya said the group backs the regulator's aims of reducing mis-selling and widening coverage, and would implement the final framework in full, according to BFSI Network.

Management ruled out large-scale layoffs but said hiring would slow, and indicated the fiscal year to March 2028 could be a volatile transition. Its stated responses are to grow non-insurance revenue, push ecosystem products and evaluate other options subject to regulatory approval. An ICICI Direct note cited by BFSI Network said PB Fintech could consider seeking its own insurance licence if the economics are not shared fairly or passed on to customers.

PB Fintech share price down 38% since June

The market had moved before the results. PB Fintech's share price has fallen 38% since the end of June, to about INR 1,000, and its market value has dropped to INR 47,104 crore from INR 74,957 crore, Entrackr reported.

The distribution model PB Fintech built depends on a growing agent network as well as its website. Its advisor network grew by about 1.3 lakh in the quarter to roughly 5.5 lakh agents, and these distributors contributed 76% of gross written premium, BFSI Network said, citing Moneycontrol. Commission caps that treat brokers less favourably than insurers' own agents would reach that channel too.

Other Indian fintech companies have posted strong September-quarter numbers; Paytm's profit rose tenfold as its EBITDA margin reached 10%. PB Fintech's next marker is not its December-quarter results but IRDAI's final distribution framework. Profit of INR 192 crore equals about 2% of the premium the company facilitated in the quarter, BFSI Network noted, which shows how sensitive earnings are to the commission rate the regulator settles on.
